Legislative Decree 231/01 introduces into the Italian legal system the possibility for companies to be liable for an offence committed by managers or workers in the interest or to the advantage of the company itself.

The liability of the company is linked to that of the natural person who committed the offence, but is independent of the latter and the company may be convicted even if the defendant is acquitted.

Sisme Ethical Code

This Code of Ethics (hereinafter also referred to as the ‘Code’) gathers the ethical principles and values that inform the corporate culture and that must inspire the conduct and behaviour of those who work in the interest of SISME – Società Italiana Statori e Motori Elettrici S.p.A. (hereinafter also referred to as ‘SISME’ or the ‘Company’) both inside and outside the corporate organisation. The Code is an essential element of the organisation, management and control model (hereinafter the ‘Model’) adopted by SISME pursuant to and for the purposes of Legislative Decree no. 231/2001.

Today, the growth and continuous evolution of the business, as well as the size and importance of the activities carried out, mean that SISME finds itself operating in a multiplicity of contexts that are constantly and rapidly evolving and plays a relevant role with respect to the market, economic development and the wellbeing of the communities in which it is present: in this context, it is important that SISME clearly defines the set of values in which the Company recognises itself and which it accepts and shares, together with the responsibilities that it assumes both internally and externally.

All SISME’s activities must be carried out in compliance with the law, within a framework of fair competition, with honesty, integrity, fairness and good faith, respecting the legitimate interests of customers, employees, shareholders, business and financial partners and the community.

All those who work at SISME or collaborate with it, without distinction or exception of any kind, are committed to observing and enforcing these principles within the scope of their functions and responsibilities.

The conviction of acting to the benefit of SISME can in no way justify the adoption of conduct that is contrary to the principles, values and rules of conduct expressed in this Code, the observance of which by the employees of SISME and all the other addressees of the Code, as better specified below, is of fundamental importance for the good functioning, reliability and reputation of SISME itself.

Whistleblowing

pursuant to Legislative Decree No. 24 of 10 March 2023

Sisme considers it essential to promote a corporate culture that fosters two essential values: transparency and accountability.

That is why, in order to identify possible risks and prevent possible damage to our company and our employees, partners and entities with whom we work, we provide a special channel in this section for reporting any unlawful conduct that could be detrimental to the company, the public interest or the integrity of the public administration.

For more details on the violations that can be reported through this channel and on how the channel and reports are handled, please refer to the attached procedure. All reports are treated with absolute discretion and confidentiality in accordance with the relevant legislation.
